| - This acquisition of business is below the threshold for submission of reports on material facts as stipulated in Article 171 of the Enforcement Decree of the Capital Markets Act, and does not meet the criteria for a critical business acquisition as defined in Article 374 of the Commercial Act; thus, approval at the general shareholders' meeting is not required. So it is replaced by this “Other Management Information (Voluntary Disclosure)”. - The “5) Acquisition amount” above represents the acquisition value evaluated by an external agency based on the financial statements as of March 31, 2024. The acquisition price will be adjusted to reflect changes in net assets resulting from the reevaluation of the business to be acquired on May 31, 2024, the acquisition basis date for this case. - The “3. Decision (Confirmation) Date” above refers to the date of the board resolution. - The information above is subject to change based on procedures, related laws, agreements with counterparties, etc. The responsibility for concluding and modifying contracts related to this acquisition, as well as executing it, is delegated to the CEO and an individual designated by him. - This disclosure replaces the redisclosure of “Response to Rumors or Media Reports: Undetermined” which was disclosed on April 8, 2024, in response to the media report titled “Kakao focuses on AI business through the acquisition and merger of subsidiary Kakao Brain”. |
